These Terms of Service govern your access to and use of the Toplux online store, including purchases, accounts, content, communications, and related services.

In these Terms, “Toplux,” “we,” “us,” and “our” refer to Toplux. “You” and “your” refer to the person accessing or using the Services.

By accessing the Services, creating an account, or submitting an order, you agree to these Terms. If you do not agree, do not use the Services.

Eligibility

You must be at least 18 years old or the age of legal majority in your jurisdiction to make a purchase independently.

A minor may use the Services only with the involvement and authorization of a parent or legal guardian who accepts responsibility for that use.

You may not use the Services where prohibited by law.

Shopify Platform

The Toplux online store is hosted on Shopify.

Shopify supplies the commerce platform used to display products, process checkout, manage orders, provide security, and support related store functions.

Your use of independent Shopify consumer services may also be governed by Shopify’s own terms and privacy notices.

Products and Availability

Toplux may add, modify, limit, replace, or discontinue products at any time.

Product availability is not guaranteed. A product appearing as available may become unavailable before an order is accepted or fulfilled.

Toplux may limit quantities purchased per:

• Customer.
• Household.
• Account.
• Payment method.
• Billing address.
• Shipping address.
• Product.
• Promotion.
• Order.

Products are offered for personal and lawful use. Commercial resale may require prior written authorization from Toplux.

Product Descriptions

Toplux seeks to provide accurate descriptions, images, ingredient information, serving information, quantities, warnings, and other material product details.

Actual appearance may vary because of:

• Lighting.
• Photography.
• Screen settings.
• Manufacturing variation.
• Packaging updates.
• Label updates.

Packaging may change without materially changing the product.

Customers must read the label and product information supplied with the delivered product before use.

If a delivered product materially differs from its description, the customer may request an appropriate remedy under the Return and Refund Policy and applicable law.

Dietary Supplements and Wellness Products

Toplux products may include dietary supplements or other health and wellness products.

Dietary supplements are not substitutes for:

• A varied diet.
• Medical treatment.
• Professional diagnosis.
• Emergency care.
• Advice from a qualified healthcare professional.

Always:

• Read the entire label.
• Follow the recommended serving.
• Do not exceed the stated amount.
• Review ingredients and allergens.
• Follow storage instructions.
• Keep products out of reach of children.
• Do not use a product with a damaged safety seal.
• Stop using a product if a serious adverse reaction occurs.

Consult a qualified healthcare professional before using a dietary supplement if you:

• Are pregnant or nursing.
• Take prescription or over-the-counter medication.
• Have a medical condition.
• Have a known allergy.
• Are preparing for surgery.
• Intend to provide the product to a minor.
• Use other supplements containing similar ingredients.

Information supplied by Toplux customer service does not constitute medical advice.

Health and Disease Claims

No website content, advertisement, review, testimonial, product description, or communication should be interpreted as a diagnosis, prescription, or promise to prevent, treat, cure, or manage a disease.

Dietary supplement disease claims and eligible structure or function claims are regulated by the FDA. A product intended to diagnose, treat, cure, or prevent disease may be regulated as a drug.

Individual Results

Individual experiences may vary based on factors such as:

• Diet.
• Lifestyle.
• Age.
• Health status.
• Medication.
• Consistency of use.
• Other products used.
• Individual biology.

Toplux does not guarantee that every customer will experience the same result described in a review, testimonial, advertisement, or other communication.

Product Safety Reports

Contact toplux.shop@hotmail.com if you believe a product is contaminated, defective, unsealed, mislabeled, expired, or associated with a safety concern.

For a medical emergency, contact emergency services immediately rather than waiting for a response from Toplux.

Toplux may request information reasonably necessary to investigate the product, including:

• Order number.
• Product name.
• Lot number.
• Expiration or best-by date.
• Photographs.
• Description of the incident.

Prices and Currency

All prices charged by Toplux are stated in USD, unless checkout expressly indicates otherwise.

Prices may change before an order is accepted.

The price applicable to an accepted order is the price shown when the order is submitted, subject to correction of an obvious error as permitted by law.

Prices may exclude:

• Sales tax.
• Shipping.
• Customs duties.
• Import taxes.
• Brokerage fees.
• Other government charges.

Amounts collected by Toplux will be displayed in USD before the customer submits the order.

A bank or payment provider may apply its own exchange rate or transaction fee. Toplux does not control those charges.

Pricing and Content Errors

Toplux may correct:

• Typographical errors.
• Incorrect prices.
• Inaccurate descriptions.
• Technical errors.
• Incorrect promotions.
• Inventory errors.

If a material error is discovered after an order is submitted, Toplux may:

• Contact the customer for instructions.
• Offer the product at the corrected price or under corrected terms.
• Cancel the affected product or order.
• Refund the amount collected.

Toplux will not charge a higher corrected amount in USD without the customer’s authorization.

Order Submission and Acceptance

Submitting an order is an offer to purchase the products listed in the order.

An automated order confirmation acknowledges receipt but does not necessarily mean that Toplux has accepted the order.

Unless Toplux clearly accepts earlier, acceptance occurs when Toplux:

• Sends a shipment confirmation.
• Dispatches the product.
• Otherwise expressly confirms acceptance.

Toplux may reject or cancel an order before acceptance because of:

• Product unavailability.
• Payment failure.
• Pricing or description errors.
• Shipping restrictions.
• Regulatory restrictions.
• Suspected fraud.
• Unauthorized payment activity.
• Quantity limits.
• Violation of these Terms.

If Toplux cancels an order after collecting payment, the amount will be refunded in USD to the original payment method.

Customer Information

You agree to provide current, complete, and accurate information for:

• Orders.
• Payments.
• Billing.
• Shipping.
• Accounts.
• Customer-service requests.

You must review the shipping address and product selection before submitting the order.

Toplux is not responsible for a delay caused solely by incorrect or incomplete information provided by the customer, except where responsibility cannot lawfully be excluded.

Payment

You authorize Toplux and its payment providers to charge the selected payment method for:

• Product prices.
• Shipping charges.
• Applicable taxes.
• Other charges clearly disclosed before order submission.

You represent that you are authorized to use the payment method.

Transactions may be subject to:

• Payment authorization.
• Fraud screening.
• Identity verification.
• Security review.
• Bank or card-network approval.

Toplux may suspend or cancel an order when payment cannot be authorized or when the transaction reasonably appears fraudulent or unauthorized.

Taxes, Duties, and Import Charges

Toplux may collect sales tax where legally required.

For international shipments, the recipient may be responsible for customs duties, import taxes, brokerage charges, or other government fees unless checkout expressly states that those charges are included.

Refusing to pay a properly disclosed import charge does not automatically entitle the customer to a full refund.

Any refund for a returned international shipment remains subject to the Return and Refund Policy and applicable law.

Shipping

Shipping is governed by the Toplux Shipping Policy, which is incorporated into these Terms.

Delivery dates are estimates unless Toplux expressly guarantees a specific date.

Customers are responsible for reviewing the selected shipping method and address before submitting the order.

Returns and Refunds

Returns, exchanges, cancellations, and refunds are governed by the Toplux Return and Refund Policy, which is incorporated into these Terms.

Nothing in that Policy or these Terms limits rights that cannot lawfully be waived.

Promotions and Discount Codes

Promotions may be subject to additional terms presented when the offer is made.

Unless Toplux states otherwise:

• Promotions cannot be combined.
• Codes have no cash value.
• Codes are not retroactive.
• Codes may be limited by date, customer, product, quantity, market, or order.
• Discounts do not apply to shipping, taxes, or gift cards unless expressly stated.
• A promotion may be canceled or denied when used fraudulently.

If a promotional order is partially returned, Toplux may recalculate the refund based on the allocation of the discount among the products.

Bundles and Complimentary Products

Products purchased through a bundle or multi-buy offer may be priced as a group.

A customer seeking a full refund may be required to return every product included in the promotion.

If only part of the promotion is returned, the refund may be adjusted to reflect the products kept and the discount originally applied.

A product supplied at no additional charge has a refundable value of no more than the amount paid for it, which may be USD 0.

Gift Cards and Store Credit

Gift cards and store credits are denominated in USD unless expressly stated otherwise.

They are not redeemable for cash except where required by law.

When a purchase is made with store credit or a gift card, an approved refund may be returned to the same balance.

Customer Accounts

You may be able to create a Toplux account.

You are responsible for:

• Maintaining accurate account information.
• Protecting your password.
• Restricting access to your device.
• Notifying Toplux of suspected unauthorized activity.

You may not:

• Create an account using false information.
• Impersonate another person.
• Use another person’s account without authorization.
• Transfer an account without permission.
• Circumvent an account restriction.

Toplux may suspend or terminate an account that creates a security risk, appears fraudulent, or materially violates these Terms.

Reviews and User Content

You may be able to submit reviews, photographs, comments, suggestions, or other content.

You retain ownership of content you submit.

By submitting content, you grant Toplux a non-exclusive, worldwide, royalty-free, sublicensable license to:

• Host.
• Store.
• Reproduce.
• Format.
• Publish.
• Display.
• Distribute.
• Use the content to operate and promote Toplux and its products.

You represent that:

• You own the content or have permission to submit it.
• A review reflects a genuine experience.
• The content is truthful to the best of your knowledge.
• It does not infringe intellectual property, privacy, or publicity rights.
• It is not unlawful, defamatory, threatening, deceptive, or malicious.
• It does not contain malware or spam.
• Any material relationship or compensation is disclosed where required.

Do not publish medical records or unnecessary sensitive health information in a public review.

Toplux may moderate, decline, or remove content that violates these Terms or applicable law.

Prohibited Uses

You may not use the Services to:

• Violate any law.
• Commit fraud.
• Use unauthorized payment information.
• Infringe intellectual property or privacy rights.
• Harass, threaten, or defame another person.
• Upload malicious code.
• Interfere with security.
• Circumvent technical restrictions.
• Scrape or extract data through unauthorized automated means.
• Reverse engineer the Services except where law expressly permits.
• Submit false reviews.
• Manipulate ratings.
• Abuse promotions, refunds, or chargebacks.
• Make unauthorized medical or disease claims about Toplux products.
• Resell products unlawfully.
• Impersonate Toplux or another person.
• Assist another person in doing any of these things.

Intellectual Property

The Services and their original content—including text, product descriptions, photographs, graphics, logos, design, layout, software, and branding—are owned by or licensed to Toplux.

Toplux grants you a limited, personal, non-exclusive, non-transferable, revocable right to access the Services for lawful shopping and personal use.

You may not, without authorization:

• Reproduce substantial portions of the Services.
• Republish product photographs.
• Exploit content commercially.
• Remove proprietary notices.
• Create derivative works.
• Use Toplux branding in a manner suggesting false affiliation or endorsement.

Third-Party Services and Links

The Services may integrate with or link to independent:

• Payment providers.
• Shipping carriers.
• Social networks.
• Applications.
• Websites.
• Shopify services.

Toplux does not control the content, availability, security, or policies of independent third parties.

Your direct use of a third-party service is subject to that provider’s terms and privacy notice.

Privacy

Toplux’s processing of personal information is described in the Privacy Policy, which is incorporated into these Terms.

Electronic Communications

By using the Services, you consent to receive transaction-related communications electronically, including:

• Order confirmations.
• Payment notices.
• Shipping updates.
• Account notices.
• Product-safety notices.
• Return and refund communications.
• Policy updates.
• Customer-service messages.

Electronic communications satisfy written-notice requirements to the extent permitted by law.

Marketing communications remain subject to your choices and applicable law.

Service Availability

Toplux may modify, restrict, suspend, or discontinue part of the Services for:

• Maintenance.
• Security.
• Legal compliance.
• Technical reasons.
• Business reasons.
• Prevention of abuse.

Toplux does not guarantee that the Services will always be uninterrupted or error-free.

An interruption does not eliminate obligations concerning an order already accepted.

Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

EXCEPT FOR WARRANTIES EXPRESSLY PROVIDED BY TOPLUX OR REQUIRED BY LAW, TOPLUX DISCLAIMS IMPLIED WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

TOPLUX DOES NOT WARRANT THAT:

• THE SERVICES WILL ALWAYS BE AVAILABLE.
• EVERY ERROR WILL BE CORRECTED IMMEDIATELY.
• THE SERVICES WILL BE FREE FROM EVERY HARMFUL COMPONENT.
• A PRODUCT WILL PRODUCE A PARTICULAR PERSONAL, HEALTH, OR WELLNESS RESULT.
• INFORMATION PROVIDED BY A CUSTOMER OR THIRD PARTY WILL ALWAYS BE ACCURATE.

Some states do not permit certain warranty exclusions. In those states, the exclusions apply only to the extent permitted by law.

Nothing in these Terms excludes an express warranty or a legal warranty that cannot be disclaimed.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TOPLUX WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF BUSINESS OPPORTUNITY.

TO THE FULLEST EXTENT PERMITTED BY LAW, TOPLUX’S TOTAL LIABILITY FOR A CLAIM RELATING TO A PARTICULAR PRODUCT OR ORDER WILL NOT EXCEED THE AMOUNT PAID TO TOPLUX FOR THAT PRODUCT OR ORDER.

These limitations do not apply to liability that cannot lawfully be limited, including where applicable:

• Fraud.
• Willful misconduct.
• Gross negligence.
• Personal injury caused by legally actionable conduct.
• Product liability that cannot be waived.
• Violation of non-waivable consumer rights.
• Any other liability that applicable law prohibits Toplux from limiting.

Indemnification

To the extent permitted by law, you agree to indemnify and hold Toplux harmless from third-party claims and reasonable expenses arising from:

• Your unlawful use of the Services.
• Your material violation of these Terms.
• User content that infringes another person’s rights.
• Fraudulent or intentionally harmful conduct.

This provision does not require you to indemnify Toplux for Toplux’s own negligence, misconduct, product liability, or violation of law.

Force Majeure

Toplux is not responsible for delay or failure caused by events beyond its reasonable control, including:

• Natural disasters.
• Severe weather.
• War.
• Civil disturbance.
• Government actions.
• Public-health emergencies.
• Transportation interruptions.
• Labor disputes.
• Major infrastructure failures.
• Carrier disruptions.

Toplux will provide reasonable notice when such an event materially affects an order.

If performance becomes permanently impossible, amounts collected for undelivered products will be refunded in USD.

Informal Dispute Resolution

Before filing a legal claim, you and Toplux agree to make a good-faith effort to resolve the dispute informally.

Send a description of the issue, the requested resolution, and the relevant order number to toplux.shop@hotmail.com.

The parties should allow 30 calendar days for informal resolution unless immediate action is necessary to prevent harm or preserve a legal right.

This section does not prevent either party from seeking eligible relief in small-claims court or requesting emergency injunctive relief.

Governing Law and Jurisdiction

These Terms are governed by applicable United States federal law and the state law lawfully applicable to the transaction.

No provision is intended to deprive a consumer of mandatory protections available under the law of the consumer’s state of residence.

A claim may be brought before a court with lawful subject-matter and personal jurisdiction.

These Terms do not impose mandatory arbitration or waive a right to participate in a class action where that right otherwise exists.

Severability

If a provision is held unlawful or unenforceable, it will be enforced to the maximum lawful extent or modified as necessary.

The remaining provisions will continue in effect.

No Waiver

Toplux’s failure to enforce a provision is not a waiver of the right to enforce it later.

Assignment

You may not assign your rights or obligations under these Terms without written consent from Toplux.

Toplux may assign these Terms in connection with a merger, financing, acquisition, restructuring, sale of assets, or transfer of the business, subject to applicable law.

Entire Agreement

These Terms, together with the Privacy Policy, Return and Refund Policy, Shipping Policy, and any additional terms presented before checkout, form the agreement concerning the Services and purchases.

Changes to These Terms

Toplux may update these Terms because of changes in:

• Law.
• Products.
• Services.
• Technology.
• Shopify functionality.
• Business practices.

The revised Terms will be posted with a new “Last updated” date.

Changes apply prospectively unless applicable law requires otherwise.
